Ads Engine Early Adopters Terms

ADS ENGINE EARLY ADOPTER PROGRAM SUPPLEMENTAL TERMS 

Effective Date: Aug 1, 2026

These Ads Engine Early Adopter Program Supplemental Terms (“Supplemental Terms”) supplement Advisori’s Terms of Use, Purchase, and Subscription (“General Terms”). Capitalized terms not defined in these Supplemental Terms have the meanings given in the General Terms. 

By accepting these Supplemental Terms or accessing Ads Engine through the Early Adopter Program, you agree to the General Terms, these Supplemental Terms, the applicable order, and Advisori’s Privacy Policy, collectively, the “Agreement.” 

If these documents conflict, the following order controls: (1) the order, (2) these Supplemental Terms, and (3) the General Terms. 

  1. Program Purpose 

Ads Engine is an experimental, hosted, artificial-intelligence-enabled product intended to help users create, analyze, or improve advertising-related content and activities. 

The Ads Engine Early Adopter Program (“Program”) provides approved participants with discounted, limited access to Ads Engine for testing, evaluation, research, and feedback. 

Participation does not guarantee continued access, commercial release, future features, or future pricing. 

  1. Eligibility and Authority 

The Program is available to individuals and businesses approved by Advisori. 

If you participate for a business or other organization, you represent that: 

  1. You have authority to bind that organization; 
  2. The organization agrees to the Agreement; and 
  3. You will ensure that all authorized users comply with the Agreement. 

You are responsible for all activity occurring through your account and for violations by your authorized users.

3. Program Term

The Program begins on the date stated in your order and continues for thirty days unless: 1. Advisori extends the Program in writing; 

  1. Advisori terminates your participation earlier; 
  2. You terminate your participation earlier; or 
  3. Advisori releases a publicly or commercially available version of Ads Engine. 

Advisori does not commit to commercially release Ads Engine or preserve any Program feature in a commercial version. 

Continued access following the Program may require acceptance of different terms, payment of additional fees, or enrollment in a separate Ads Engine subscription.

  1. Program Fees 

The discounted Program fee and payment schedule will be stated in the order. 

Program fees are noncancelable and nonrefundable except: 

  1. As expressly stated in these Supplemental Terms or the order; or 
  2. To the extent required by applicable law. 

Participation in the Program does not authorize Advisori to convert your account into an automatically renewing subscription. Any post-Program subscription requires separate pricing disclosures and recurring-payment authorization. 

  1. Termination and Suspension 

5.1 Termination by Participant 

You may terminate your participation at any time by notifying Advisori and discontinuing use of Ads Engine. Participant termination does not entitle you to a refund or eliminate accrued payment obligations. 

Upon termination, you must stop using Ads Engine and destroy or return Advisori’s Confidential Information in your possession or control, except for information retained in routine backups or as required by law. 

5.2 Termination by Advisori 

Advisori may suspend, limit, or terminate your Program participation at any time, with or without cause. 

If Advisori terminates your participation without cause, Advisori’s sole obligation is to refund the prorated portion of prepaid Program fees attributable to the unused Program period. 

No refund is due if Advisori terminates or suspends access because of: 

  1. A breach of the Agreement; 
  2. Suspected fraud, abuse, or unauthorized access; 
  3. A security, legal, regulatory, or operational risk; 
  4. Nonpayment; 
  5. Submission of prohibited data; 
  6. Intellectual-property misuse; or 
  7. A third-party provider’s discontinuation, restriction, or suspension of a service required for Ads Engine.  

6. Experimental Service 

Ads Engine is a pre-release product under active development. It may be incomplete, inaccurate, unavailable, or materially changed during the Program. 

Advisori may, without prior notice: 

  1. Add, remove, or modify features; 
  2. Change models, prompts, workflows, interfaces, providers, or technical requirements; 
  3. Impose or change usage limits; 
  4. Reset or delete test environments; 
  5. Suspend access for maintenance, testing, security, or operational reasons; and 
  6. Discontinue Ads Engine or the Program.

The Program includes no service-level commitment, uptime guarantee, data-recovery commitment, maintenance obligation, or guaranteed support response time. 

  1. Limited Access Right 

Subject to the Agreement, Advisori grants you a limited, revocable, nonexclusive, nontransferable, and nonsublicensable right to access and use Ads Engine during the Program for your internal personal or business purposes. 

You may not: 

  1. Resell, sublicense, share, or provide Ads Engine to another person; 
  2. Reverse engineer or attempt to discover nonpublic source code, models, system prompts, algorithms, or technical components; 
  3. Scrape, crawl, index, or systematically extract content or data; 
  4. Use Ads Engine or Output to develop, train, test, or improve a competing product or model; 
  5. Conduct or disclose public performance tests, benchmarks, or comparative evaluations without Advisori’s written consent; 
  6. Circumvent access controls, usage limits, safety measures, or technical restrictions; 
  7. Use Ads Engine for unlawful, deceptive, discriminatory, or infringing activities; or 
  8. Interfere with Ads Engine or another user’s access. 

8. Inputs and Customer Data 

“Input” means prompts, instructions, files, advertising materials, account information, campaign information, performance information, and other content submitted or made available through Ads Engine. 

As between you and Advisori, you retain your ownership rights in your Input. 

You represent and warrant that: 

  1. You have all rights, permissions, and consents required to provide and use the Input; 
  2. Advisori’s authorized processing of the Input will not violate law, contract, or another person’s rights; 3. You have provided legally required notices and obtained legally required consents from affected individuals; and 4. Your Input does not contain prohibited data. 

You remain responsible for the legality, accuracy, quality, and content of your Input. 

  1. Prohibited Data 

You may not submit or make available through Ads Engine: 

  1. Protected health information; 
  2. Payment-card information; 
  3. Social Security numbers, government identification numbers, passwords, or authentication credentials; 4. Regulated financial account information; 
  4. Biometric identifiers or biometric information; 
  5. Personal information relating to children; or 
  6. Information whose processing would violate law, contract, or another person’s rights. 

Advisori may remove prohibited data and suspend or terminate access without liability.

  1. Data License and Required Training Consent 

As a required condition of Program participation, you grant Advisori a worldwide, royalty-free, sublicensable license to host, copy, transmit, process, analyze, modify, create derivative works from, and otherwise use Input and Output to: 

  1. Provide, operate, secure, maintain, and support Ads Engine; 
  2. Troubleshoot errors and investigate security incidents or misuse; 
  3. Evaluate Program performance and user experience; 
  4. Develop and improve Ads Engine and Advisori’s related products and services; 
  5. Develop, train, fine-tune, test, validate, and improve Advisori’s product-specific artificial-intelligence and machine-learning systems; and 
  6. Exercise Advisori’s rights and perform its obligations under the Agreement. 

This permission includes human review of Input and Output by authorized Advisori personnel and contractors. It also includes identifiable content when reasonably necessary for the permitted purposes. 

Advisori may disclose Input and Output to contracted hosting, analytics, support, security, and artificial-intelligence providers that process information for Advisori. Advisori may permit those providers to use the information to provide, maintain, secure, or improve services operating in connection with Ads Engine. Advisori will not authorize a provider to use your content to train an unrelated, general-purpose model unless that practice is separately disclosed. 

This license continues after termination to the extent necessary to preserve: 

  1. Completed product and model improvements; 
  2. Trained parameters and model weights; 
  3. Evaluation, safety, and performance results; 
  4. Aggregated or deidentified information; and 
  5. Legal, security, and operational records. 

To the extent permitted by law, Advisori has no obligation to reverse completed training or remove information incorporated into a model. If you withdraw required training consent, Advisori may terminate your Program participation. Any legally effective withdrawal applies prospectively. 

  1. Usage Data, Metrics, and Benchmarking 

“Usage Data” means technical, operational, and statistical information concerning access to and use of Ads Engine, including feature interactions, query metadata, response times, error information, session information, utilization levels, and engagement measurements. Usage Data does not include the substantive content of Input, Output, or raw advertising-account data. 

As between you and Advisori, Advisori owns Usage Data. 

Advisori may use Usage Data for: 

  1. Security and abuse prevention; 
  2. Support and troubleshooting; 
  3. Analytics and forecasting; 
  4. Product and model development; 
  5. Billing and usage verification; and 
  6. Business planning. 

Advisori may create aggregated or deidentified information from Input, Output, Usage Data, and advertising performance information. Advisori may use and disclose that information to:

  1. Develop and improve products and models; 
  2. Measure adoption and effectiveness; 
  3. Compare performance across customers, industries, use cases, or market segments; 
  4. Create and publish benchmarks, reports, research, and market insights; and 
  5. Support marketing and business planning. 

Published benchmarks will not identify you or disclose identifiable content. Advisori will maintain deidentified information in deidentified form and will not attempt to reidentify it except as required to test deidentification controls or comply with law. 

Metrics and benchmarks may be based on estimates, assumptions, incomplete data, or changing methodologies. Advisori does not warrant their accuracy, completeness, or suitability for any particular decision. 

  1. Output 

“Output” means content, recommendations, analyses, predictions, advertising materials, or other results generated by Ads Engine in response to Input. 

To the extent permitted by law and subject to your compliance with the Agreement, Advisori assigns to you any rights Advisori may have in your Output. 

This assignment does not include: 

  1. Ads Engine or Advisori technology; 
  2. Models, model weights, system prompts, workflows, methods, or templates; 
  3. Third-party materials or intellectual property; 
  4. Feedback or Usage Data; 
  5. Aggregated or deidentified information; or 
  6. Output generated independently for other users. 

Output may be identical or similar to content generated for other users. Advisori does not represent that Output is unique, protectable, noninfringing, or eligible for intellectual-property protection. 

Your ownership of Output remains subject to Advisori’s data license under Section 10. 

  1. AI Limitations and Customer Responsibility 

Artificial-intelligence systems produce probabilistic results. Output may be inaccurate, incomplete, outdated, biased, misleading, offensive, or unsuitable for its intended purpose. 

You are responsible for: 

  1. Reviewing and independently verifying Output; 
  2. Determining whether Output is appropriate for your use; 
  3. Obtaining professional review when appropriate; 
  4. Checking Output for accuracy, substantiation, required disclosures, infringement, and legal requirements; 5. Complying with advertising, consumer-protection, privacy, intellectual-property, and platform requirements; and 6. Making all final decisions concerning publication, advertising spend, targeting, claims, and implementation. 

You may not rely on Output as the sole source of truth or allow Ads Engine to make consequential decisions without appropriate human review.

Advisori does not guarantee advertising approval, audience reach, leads, conversions, revenue, profitability, return on advertising spend, or any other result. 

  1. Confidentiality 

To the extent not publicly available, the following constitute Advisori’s “Confidential Information”: 1. Ads Engine and the fact or terms of your Program participation; 

  1. Nonpublic features, designs, models, system behavior, and documentation; 
  2. Product plans and development information; 
  3. Performance, testing, benchmark, and usage information; and 
  4. Other nonpublic information disclosed in connection with the Program. 

You will: 

  1. Protect Confidential Information using at least reasonable care; 
  2. Use it solely to participate in the Program; 
  3. Disclose it only to personnel who need it for Program participation and are bound by confidentiality obligations; and 
  4. Promptly notify Advisori of unauthorized use or disclosure. 

These restrictions do not apply to information that you can document: 

  1. Is publicly available through no breach of the Agreement; 
  2. Was lawfully known without a confidentiality obligation; 
  3. Was lawfully received from an unrestricted third party; or 
  4. Was independently developed without using Advisori’s Confidential Information. 

If disclosure is legally required, you will provide prompt notice to Advisori when legally permitted and reasonable assistance in seeking protective treatment. 

  1. Feedback 

You agree to make reasonable efforts to use Ads Engine, report material errors, and provide feedback requested by Advisori. 

“Feedback” includes bug reports, surveys, enhancement requests, issue reports, recommendations, and assessments concerning Ads Engine. 

You grant Advisori and its service providers a perpetual, irrevocable, worldwide, transferable, sublicensable, royalty-free right to use, reproduce, disclose, modify, distribute, commercialize, and otherwise exploit Feedback without compensation, attribution, or restriction. 

Advisori will not publicly use your name, image, logo, testimonial, or identifiable results without separate permission.

16. Third-Party Services 

Ads Engine may use or interact with third-party artificial-intelligence models, hosting services, analytics providers, advertising platforms, and integrations. 

Advisori is not responsible for third-party services independently selected, connected, or used by you. Your use of those services may be governed by separate terms and privacy policies. 

Changes, restrictions, outages, or errors affecting third-party services may affect Ads Engine without creating liability or a refund right, except for the prorated remedy expressly stated in Section 5.

  1. Risk of Data Loss 

ADS ENGINE MAY CONTAIN ERRORS, DEFECTS, OR BUGS AND MAY CAUSE FAILURE, CORRUPTION, ALTERATION, OR LOSS OF DATA. 

You are responsible for maintaining independent backups. You should not use Ads Engine as the sole repository for any information. 

Advisori has no obligation to recover lost, corrupted, or altered data. 

  1. Disclaimer of Warranties 

ADS ENGINE, THE PROGRAM, OUTPUT, METRICS, BENCHMARKS, AND RELATED MATERIALS ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS.” 

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADVISORI DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NONINFRINGEMENT, ACCURACY, SECURITY, AVAILABILITY, AND RESULTS. 

ADVISORI DOES NOT WARRANT THAT ADS ENGINE OR OUTPUT WILL BE ACCURATE, COMPLETE, UNIQUE, UNINTERRUPTED, ERROR-FREE, SECURE, SUITABLE FOR PRODUCTION USE, OR FREE FROM HARMFUL COMPONENTS. 

  1. Assumption of Risk 

To the extent permitted by law, you assume the risks and costs associated with accessing, testing, evaluating, and using Ads Engine and Output. 

This includes risks relating to: 

  1. Inaccurate or unsuitable Output; 
  2. Service interruption or discontinuation; 
  3. Data loss or corruption; 
  4. Advertising-platform action; 
  5. Third-party claims; and 
  6. Decisions made using Output. 

20. Indemnification 

In addition to your indemnification obligations under the General Terms, you will defend, indemnify, and hold harmless Advisori and its affiliates, owners, directors, officers, employees, contractors, and agents from third-party claims, proceedings, liabilities, damages, judgments, losses, costs, and reasonable attorneys’ fees arising from: 

  1. Your Input; 
  2. Your use, publication, or distribution of Output; 
  3. Advertising claims, targeting, offers, products, services, or campaigns created or implemented by you; 4. Your failure to obtain required rights, notices, permissions, or consents; 
  4. Your submission of prohibited data; 
  5. Your violation of advertising-platform requirements or applicable law; or 
  6. Your breach of the Agreement. 

You may not settle a claim in a manner that admits wrongdoing by, requires payment from, or imposes obligations on Advisori without Advisori’s prior written consent.

  1. Limitation of Liability 

The exclusions and limitations in the General Terms apply to the Program. 

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADVISORI WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, CUSTOMERS, BUSINESS OPPORTUNITIES, GOODWILL, OR ADVERTISING SPEND. 

ADVISORI’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE PROGRAM, ADS ENGINE, INPUT, OUTPUT, METRICS, BENCHMARKS, OR PROGRAM TERMINATION WILL NOT EXCEED THE LESSER OF: 

  1. FIFTY U.S. DOLLARS; OR 
  2. THE AMOUNT YOU PAID FOR THE PROGRAM. 

These limitations apply notwithstanding a failure of the essential purpose of any limited remedy. 

The prorated refund described in Section 5 is your exclusive contractual remedy for Advisori’s termination of the Program without cause. 

  1. Export Controls 

You will comply with applicable United States and foreign export-control, sanctions, and re-export laws. 

You may not access or use Ads Engine for the benefit of a sanctioned person or from a location where access is prohibited under applicable trade restrictions. 

  1. End of Program 

Upon expiration or termination: 

  1. Your Program access rights immediately end; 
  2. Advisori may disable your account or Program features; 
  3. You must stop using Advisori’s Confidential Information; 
  4. Continued access may require new terms and fees; and 
  5. Advisori may retain and use information as permitted by the Agreement and Privacy Policy. 

Sections concerning data rights, Usage Data, benchmarking, intellectual property, confidentiality, Feedback, disclaimers, indemnification, limitations of liability, and dispute resolution survive expiration or termination. 

  1. General Provisions 

The governing-law, dispute-resolution, assignment, severability, waiver, amendment, electronic-communications, and other general provisions of the General Terms apply to these Supplemental Terms. 

Advisori may freely assign or delegate its rights and obligations relating to the Program. You may not assign your Program rights without Advisori’s written consent. 

Advisori may modify Program features, requirements, policies, and operational procedures during the Program. Amendments to the Agreement are governed by the amendment provisions of the General Terms.
